Terms of Use
Terms of Use
Effective Date: April 24, 2026
These Terms of Use (“Terms”) form a binding legal agreement between MEVA Technologies, Inc. (“MEVA,” “we,” “us,” or “our”), a Delaware corporation, and you (“you” or “User”), and govern your access to and use of gomeva.com, the MEVA assessment platform, and any related APIs, SDKs, mobile applications, or software made available by MEVA (collectively, the “Platform”). Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Notice, which is incorporated by reference. If you do not agree, you may not access or use the Platform.
Arbitration notice. These Terms contain a binding arbitration agreement and class-action waiver in Section 22. By agreeing to these Terms, you agree to resolve disputes with MEVA on an individual basis in arbitration rather than in court, subject to the limited exceptions described below.
1.Acceptance and Applicable Agreement
1.1 Direct Users
If you access the Platform directly through gomeva.com, including as a participant in a MEVA-administered pilot or as an individual registrant, these Terms govern your use of the Platform.
1.2 Users Accessing Through an Institutional Client
If you access the Platform because a university, employer, or other organization (a “Customer”) has engaged MEVA to administer an assessment, your use is governed both by these Terms and by any applicable agreement between you and the Customer. In the event of a direct conflict between these Terms and the Customer’s agreement with you regarding matters within the Customer’s control (such as eligibility, scheduling, or use of results), the Customer’s agreement with you controls; in all other matters, these Terms control.
1.3 Customer Agreements
Institutional clients that subscribe to or license the Platform are subject to a separate Master Service Agreement and Data Processing Addendum (“Customer Agreement”). Where a valid Customer Agreement exists, it controls as to matters between MEVA and the Customer. These Terms continue to govern the relationship between MEVA and individual end users of the Platform.
2.Definitions
In these Terms:
- “AI Output” means any score, classification, summary, recommendation, or other output generated by MEVA’s AI systems, including the MEVA Emotional Readiness Score.
- “Assessment Session” means any session in which a user records responses to assessment prompts through the Platform.
- “Customer” means any institutional client that has engaged MEVA to administer assessments on behalf of the Customer’s candidates or members.
- “MEVA Materials” means the Platform, the AI Output, the MEVA AI models, the MEVA assessment framework, the user interface, all related software and documentation, and all trademarks, service marks, logos, and trade dress associated with any of the foregoing.
- “User Content” means any audio recording, video recording, spoken response, text response, profile information, or other content you submit or transmit through the Platform.
3.Eligibility
The Platform is offered to individuals who are at least eighteen (18) years of age, or who are between thirteen (13) and seventeen (17) years of age with verifiable parental or legal-guardian consent. Individuals under thirteen (13) are not permitted to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements, that you have the legal capacity to enter into these Terms, and that your use of the Platform will not violate any law or regulation applicable to you, including export-control and sanctions laws.
MEVA may refuse service, close accounts, or cancel sessions at its discretion, including to comply with applicable law.
4.Accounts and Security
When you register for an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. You must notify MEVA promptly at support@gomeva.com of any unauthorized access, loss of credentials, or suspected security incident. MEVA is not liable for any loss arising from your failure to comply with this Section.
You may not share your account, transfer it to another person, or use another user’s account. You may not create an account using false identity information or impersonate any other person.
5.License to Use the Platform
Subject to your compliance with these Terms, MEVA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial use (in the case of direct users) or solely as permitted by the applicable Customer Agreement (in the case of users accessing through an institutional client). All rights not expressly granted are reserved by MEVA.
6.User Content
6.1 Ownership
As between you and MEVA, you retain all rights you have in your User Content. MEVA does not claim ownership of User Content.
6.2 License You Grant to MEVA
You grant MEVA a worldwide, royalty-free, non-exclusive, sublicensable (to sub-processors and service providers acting on MEVA’s behalf) license to host, store, reproduce, transmit, transcribe, analyze, process, derive biometric data from, and otherwise use your User Content for the purposes of: (a) providing and operating the Platform; (b) generating the AI Output you requested; (c) training, validating, and improving MEVA’s AI systems, as further described in our Privacy Notice; (d) detecting and preventing fraud or abuse; and (e) complying with applicable law. The license you grant with respect to aggregated or de-identified data (including model weights and training corpora) is perpetual and irrevocable, because such data cannot technically be individually retrieved once incorporated. The license with respect to identifiable User Content terminates on deletion of your account, subject to the retention provisions of the Privacy Notice.
6.3 Your Representations
You represent and warrant that (a) you have all rights necessary to submit your User Content and to grant the license in Section 6.2; (b) your User Content does not and will not infringe any third-party right, violate any law, or breach any duty of confidentiality; and (c) any individuals depicted in your User Content have provided all necessary consents for the collection and processing described in these Terms and the Privacy Notice.
7.AI Output; No Professional Advice
The Platform uses artificial intelligence to generate probabilistic outputs based on your assessment responses. AI Output is inherently probabilistic and may be incomplete, inaccurate, or unsuitable for a particular purpose. AI Output is provided for informational and developmental purposes only and is not medical, psychological, psychiatric, clinical, diagnostic, legal, employment, educational, or financial advice. AI Output is not a substitute for the judgment of a licensed professional, and you should not rely on it to make decisions that require such judgment.
You acknowledge that MEVA’s AI models are designed to measure emotional readiness signals as part of a structured assessment; they are not designed or validated to diagnose any mental-health condition, to predict criminal behavior, or to serve as the sole basis for any employment, educational, admissions, promotion, discipline, benefits, insurance, custody, or clinical decision. If you (or any Customer) choose to use AI Output as one input among many in a broader human-reviewed decision process, you bear full responsibility for ensuring that such use complies with all laws applicable to you, including anti-discrimination laws. See Section 10.
8.Acceptable Use
You agree to use the Platform only for its intended purpose, in a lawful manner, and consistent with the instructions MEVA provides. You will respect the privacy and dignity of other users, comply with all applicable laws and regulations (including those in the jurisdiction from which you access the Platform), and cooperate reasonably with MEVA to resolve technical issues.
9.Prohibited Conduct
You agree that you will not, and will not permit any third party to:
- Use the Platform in violation of any law, regulation, court order, or contractual obligation;
- Use the Platform to harass, threaten, defame, defraud, harm, or impersonate any person, or to engage in any activity that is harmful to minors;
- Upload, transmit, or otherwise make available any content that is unlawful, obscene, defamatory, infringing, or that contains sexual content involving minors or incites violence or terrorism;
- Upload malware, viruses, worms, or any code designed to disrupt, damage, or gain unauthorized access to the Platform or any system or data;
- Probe, scan, or test the vulnerability of the Platform or attempt to breach or circumvent any authentication, rate-limit, or security measure, except as expressly authorized under a written security-testing agreement with MEVA;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, training data, or algorithms of the Platform, except to the extent such restriction is prohibited by applicable law;
- Scrape, crawl, harvest, or use any automated means to access the Platform or its output without MEVA’s prior written permission;
- Use the Platform or any AI Output to train, fine-tune, benchmark, or otherwise develop a product or service that competes with the Platform;
- Resell, redistribute, sublicense, rent, lease, or otherwise commercially exploit the Platform or any AI Output, except under a separate written agreement with MEVA;
- Submit false identity information or use the Platform on behalf of another person without that person’s informed consent and any consents required by law (including BIPA);
- Record, capture, transmit, or upload the voice, image, or biometric data of any other person without that person’s prior informed consent;
- Use the Platform to make clinical or medical diagnoses, to predict criminal behavior, or as the sole basis for any employment, educational, admissions, promotion, discipline, benefits, insurance, custody, or clinical decision;
- Remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Platform;
- Interfere with, disrupt, or impose an unreasonable load on the Platform, its infrastructure, or other users’ access;
- Misrepresent the source, origin, or authorship of any content or AI Output;
- Use the Platform to develop or operate weapons, critical-infrastructure attacks, or any dual-use system subject to applicable export controls in violation of such controls; or
- Encourage, facilitate, or attempt any of the foregoing.
10.Compliance with Employment, Education, and Civil-Rights Laws
If you are a Customer or an individual using AI Output to inform any decision about another person, you are solely responsible for ensuring that such use complies with all laws applicable to you, including Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act, the Age Discrimination in Employment Act, the Genetic Information Nondiscrimination Act, the Fair Credit Reporting Act, state and local fair-employment statutes, New York City Local Law 144, the Illinois Artificial Intelligence Video Interview Act, Colorado SB 21-169 and SB 24-205, the EU AI Act, and any other applicable laws governing automated decision-making, bias-audit requirements, candidate notice, or accommodations. You will not use the Platform or any AI Output for purposes prohibited by law. MEVA does not warrant that any particular use of the Platform or AI Output will comply with any law applicable to you, and you assume full responsibility for such compliance.
11.Enforcement, Suspension, and Termination
MEVA may, at any time and without prior notice, suspend, restrict, or terminate your access to all or part of the Platform, remove or refuse to process any User Content, cancel any in-progress Assessment Session, and cooperate with law enforcement or other legal processes, if MEVA determines in good faith that (a) you have violated these Terms; (b) your use of the Platform creates risk of legal liability, security harm, reputational harm, or violation of a third-party right; (c) access is required by law, regulation, court order, or subpoena; or (d) continued access is no longer commercially reasonable.
On termination of your access, Sections 6.2 (as to aggregated/de-identified data), 7, 9, 10, 12 through 22, and this sentence survive. MEVA may retain User Content as described in the Privacy Notice, including for compliance, fraud-prevention, dispute-resolution, and aggregated AI-training purposes.
12.Intellectual Property
As between you and MEVA, MEVA and its licensors own all right, title, and interest in and to the MEVA Materials, including all associated intellectual-property rights. No rights are granted to you other than the limited license expressly described in Section 5. The trademarks, service marks, and logos used in the Platform, including MEVA™, the MEVA Emotional Readiness Score, and the MEVA assessment framework, are the property of MEVA or its licensors, and may not be used without MEVA’s prior written consent.
13.Feedback
If you submit any suggestion, enhancement request, bug report, idea, or other feedback regarding the Platform (collectively, “Feedback”), you grant MEVA a worldwide, royalty-free, irrevocable, perpetual, sublicensable, and transferable license to use and exploit the Feedback for any purpose, without obligation or compensation to you. MEVA is free to use, disclose, reproduce, modify, and commercialize the Feedback without any restriction.
14.Third-Party Services
The Platform may interoperate with or link to third-party websites, applications, APIs, or services (“Third-Party Services”), including identity providers, hosting providers, AI providers, analytics providers, and email-delivery providers. Third-Party Services are governed by their own terms and privacy policies; MEVA is not responsible for the availability, accuracy, content, security, or practices of any Third-Party Service. Your use of any Third-Party Service is at your own risk.
15.Privacy
MEVA’s collection, use, storage, and disclosure of personal information is described in our Privacy Notice. By using the Platform, you acknowledge that you have read the Privacy Notice. If you access the Platform through an institutional Customer, you should also review any privacy notice provided by that Customer, which may apply in addition to MEVA’s Privacy Notice.
16.Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. MEVA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MEVA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR SUITABLE FOR YOUR INTENDED PURPOSE. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. NOTHING IN THESE TERMS LIMITS WARRANTIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
17.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEVA, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, REPUTATION, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEVA’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU (OR, IF APPLICABLE, THE CUSTOMER ON WHOSE BEHALF YOU ACCESS THE PLATFORM) TO MEVA FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED AND NOTWITHSTANDING THE FAILURE OF ANY LIMITED REMEDY OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions MEVA’s liability is limited to the maximum extent permitted by law.
18.Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless MEVA, its affiliates, and its and their officers, directors, employees, and agents (the “Indemnitees”) from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your breach of these Terms, including your breach of the representations and warranties in Section 6.3; (b) your User Content; (c) your use of the Platform or AI Output in violation of applicable law, including the laws referenced in Section 10; or (d) your negligence, misrepresentation, or willful misconduct. MEVA reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification.
19.Term and Survival
These Terms commence on your first access to the Platform and continue until terminated as provided herein. The following Sections survive termination: 2 (Definitions), 6.2 (as to aggregated/de-identified data), 7, 9, 10, 12, 13, 15, 16, 17, 18, 19, 20, 21, 22, 23, and 24.
20.Modifications to the Terms
MEVA may update these Terms from time to time. If MEVA makes a material change, MEVA will provide notice by email, by posting a prominent notice on the Platform, or by other reasonable means at least thirty (30) days before the effective date of the change. Non-material changes take effect upon posting. Your continued use of the Platform after the effective date of a modification constitutes your acceptance of the modified Terms. If you do not accept a modification, your sole remedy is to stop using the Platform.
21.Governing Law
These Terms and any dispute arising out of or relating to them or to the Platform are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 22, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction and venue over any dispute not subject to arbitration, and you consent to the personal jurisdiction of such courts.
22.Dispute Resolution; Arbitration; Class-Action Waiver
22.1 Informal Resolution
Before initiating any formal dispute, the parties will attempt to resolve the dispute informally. You must send a written notice of dispute to support@gomeva.com describing the nature and basis of the claim and the relief sought. The parties will make a good-faith effort to resolve the dispute within thirty (30) days of the notice.
22.2 Binding Individual Arbitration
If the dispute is not resolved informally, you and MEVA agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (other than the claims carved out in Section 22.4) exclusively by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator, in the English language, and seated in New Castle County, Delaware, unless the parties agree otherwise or applicable law requires a different venue. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
22.3 Class-Action Waiver
YOU AND MEVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If this class-action waiver is held unenforceable, then the entire arbitration agreement in Section 22.2 will be unenforceable, and the dispute will proceed in court subject to Section 21.
22.4 Exceptions
Notwithstanding the foregoing, either party may (a) bring an individual action in small-claims court for a qualifying dispute; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights; and (c) raise any claim or defense that, by law, may not be subject to arbitration.
22.5 Opt-Out
You may opt out of the arbitration agreement and class-action waiver in this Section 22 by sending written notice to support@gomeva.com within thirty (30) days of your first acceptance of these Terms. The notice must include your full name, the email address associated with your account, and a clear statement that you are opting out of the arbitration agreement. Opting out does not affect any other provision of these Terms.
23.Miscellaneous
23.1 Entire Agreement
These Terms, together with the Privacy Notice and any applicable Customer Agreement, constitute the entire agreement between you and MEVA regarding the Platform and supersede any prior agreements or understandings on the subject.
23.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to be enforceable.
23.3 No Waiver
MEVA’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
23.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without MEVA’s prior written consent. MEVA may freely assign these Terms, in whole or in part, to any affiliate or successor in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
23.5 Force Majeure
MEVA is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, network or utility failures, denial-of-service attacks, government actions, or disruptions of Third-Party Services.
23.6 Notices
MEVA may provide notice to you by email (to the address associated with your account), by posting on the Platform, or by other reasonable means. You may provide notice to MEVA at support@gomeva.com.
23.7 Export and Sanctions
You represent that you are not located in a country subject to U.S. government embargo or designated as a “terrorist-supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws in your use of the Platform.
23.8 Headings; Interpretation
Section headings are for convenience only and do not affect interpretation. The words “including,” “include,” and “such as” are deemed to be followed by the phrase “without limitation.”
